M&A Index 2010

We have summarized the main results of the most recent M&A survey in our 2010 M&A index.

M&A Survey 2009

Following many positive reactions and at the request of several practitioners, contrast has launched a second edition of the M&A Survey at the end of 2009. In order to increase the practical relevance for practitioners, the new survey did not simply repeat the first edition but also considered certain issues in greater detail on the basis of a broader sample of transactions. The following investment companies, corporate finance advisors and law firms kindly participated in the Survey: Ackermans & Van Haaren, Allen & Overy, Altius, Altra law, Ambos Law, Arts Cleeren & Vennoten, Astrea, Cadanz, Cnockaert Salens, contrast, Curia Advocaten, De Broeck Van Laere & Partners, Declerck Leterme & Partners, Derycke & Vandeberghe Advocaten, Dumont Sablon & Vanheeswijck, Eubelius, Finpartners, GIMV, Goossens Sebreghts Jacqmain Advocaten, KPMG Legal Advisers, Laga, Liedekerke, Linklaters, Loyens & Loeff, Monard d’Hulst, Nauta Dutilh, Olislagers & De Creus, Petercam Securities, Simont Braun, Stibbe, Titeca Henry Accountants, Vandelanotte Accountants, Vectis Participaties and VMB. The second M&A Survey was based on 150 transactions closed in the period 2007-2009 with a total deal value of almost 10 billion euro.

The conclusions of the second M&A Survey were again published in the Tijdschrift voor Rechtspersoon en Vennootschap. Highlights were also reported in an article in De Tijd.

M&A Survey 2007

In 2007, contrast launched a survey on the Belgian practice with regard to share purchase agreements with the assistance of a number of advisors with a well-established M&A practice. The first M&A Survey assessed the effective use of certain typical variables in share purchase agreements such as limitations in time with regard to the compensation for breaches of representations and warranties, the amount of the cap, the de minimis threshold and the duration of the non-compete clause.
